Additional Information

If the merger is completed, holders of Huntsman common stock will receive $28.00 in cash per share of Huntsman common stock they own. The agreement also provides that the cash price per share to be paid by Hexion will increase at the rate of 8% annually (inclusive of any dividends paid) beginning April 6, 2008, if the merger is not completed prior to that date.
